Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website and services provided by UG-X, a brand of UNIQUE GLOBAL DEPOT INC. ("UG-X", "we", "us", or "our"). By using ug-x.com, requesting a quote, or engaging us for a project, you agree to these Terms. If you do not agree, do not use the Site or our services.

1. Services

UG-X provides custom software development and related digital services, including web and mobile development, SaaS and custom software, AI integration, UI/UX design, cloud and DevOps, QA, and consulting. The specific scope, deliverables, timeline, and price for any engagement are defined in the quote and/or order you approve.

2. Quotes & Orders

Quotes are estimates valid until the date stated on them and are not binding until accepted by you and confirmed by us. Once you accept a quote, it forms the agreed scope for that engagement. Changes to scope may require a revised quote and price.

3. Deposits & Payment

• Projects typically require a deposit (commonly 50%) before work begins, with the balance invoiced according to the agreed schedule or milestones.
• Invoices are payable by the due date stated. We accept online card payments processed securely by Stripe.
• Late or unpaid invoices may result in suspension of work. You are responsible for all fees agreed in your order.

4. Client Responsibilities

You agree to provide accurate information, necessary materials (content, access, credentials), and timely feedback and approvals. Delays in providing these may affect timelines and costs. You confirm you have the rights to any materials you provide to us.

5. Revisions & Acceptance

We work in milestones that you review and approve before we proceed. Reasonable revisions within the agreed scope are included as described in your quote. Work not flagged within the review window may be treated as accepted.

6. Intellectual Property

• Upon full payment for an engagement, you own the custom deliverables we create specifically for you (source code, designs, and assets).
• We retain ownership of our pre-existing tools, libraries, frameworks, and know-how, and grant you a licence to use them as embedded in your deliverables.
• Unless you request otherwise in writing, we may display non-confidential work in our portfolio and marketing.

7. Refunds & Cancellation

Refunds and cancellations are handled as described in our Returns & Refunds Policy, which forms part of these Terms.

8. Warranties & Disclaimers

We provide our services with reasonable skill and care. Except as expressly stated, the Site and services are provided "as is" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted or error-free.

9. Limitation of Liability

To the maximum extent permitted by law, UG-X will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our total aggregate liability arising out of or relating to an engagement will not exceed the amounts paid by you for that engagement.

10. Confidentiality

Each party will protect the other's confidential information and use it only to perform the engagement. This does not apply to information that is public, independently developed, or required to be disclosed by law.

11. Termination

Either party may terminate an engagement as set out in the order or for material breach not cured within a reasonable period. On termination, you will pay for all work performed and approved up to the termination date, subject to our Refunds Policy.

12. Governing Law

These Terms are governed by the laws of the State of New Jersey, USA, without regard to its conflict-of-laws rules. The courts located in New Jersey will have exclusive jurisdiction, unless otherwise required by applicable law.

13. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date reflects the latest revision; continued use after changes constitutes acceptance.
